Ethics Practice Pledge in Business Relationships
OneStore, company fully recognizes and agrees that securing and maintaining ethics and trust in transactions with OneStore is of utmost importance. Therefore, we mutually pledge to fulfill our obligations and responsibilities to prevent unethical conduct as follows.
As follows:
1. (i) We represent and warrant that there have been no violations of relevant laws, regulations, or customs, especially the following unethical behaviors (hereinafter "Unethical Conduct"), in past transactions with your company (excluding cases where sanctions were imposed for Unethical Conduct and the sanction period has ended), (ii) we pledge that no violations of relevant laws, regulations, or customs, or Unethical Conduct will occur in future transactions (including all transactions conducted under current and future contracts with your company). Additionally, (iii) we confirm that we will not engage in any unethical conduct that negatively impacts corporate ethics and trust in transactions with other companies and third parties.
A. Acts of providing money, entertainment, hospitality, and other monetary/non-monetary benefits to your company's employees and employees of affiliates within the SK corporate group (to which your company belongs). Specific types of unethical acts related to providing benefits include but are not limited to:
① Entertainment and hospitality that violate social norms.
② Providing money, securities, or other goods without reasonable grounds.
③ Acts of debt forgiveness or repayment of third-party debts, and non-standard transactions involving movable/immovable property. *
④ Transactions involving monetary loans and the provision of material or personal guarantees.
⑤ Promises of future guarantees, regardless of the form of the agreement (e.g., post-retirement employment and job placement, signing of transaction contracts).
B. Unfair acts such as bid rigging with competitors.
C. Deliberately falsifying or omitting important information in connection with contract execution.
D. Other acts constituting criminal offenses targeting your company or its employees.
2. In the event of unethical conduct (including retrospective detection of unethical conduct related to past transactions with your company), we agree that your company may notify your company and all affiliates within the SK corporate group (hereinafter "Affiliates Sharing Unethical Conduct Information") of the fact of unethical conduct and specific details thereof (hereinafter "Unethical Conduct Information"). We confirm that such notification and the resulting sharing of unethical conduct information do not constitute a breach of your company's confidentiality obligations or an infringement of our trade secrets.
3. We agree that your company and affiliates sharing unethical conduct information may take sanctions (including but not limited to refusal to renew contracts and restriction on new transactions) based on unethical conduct (including publicly known unethical conduct related to transactions with other companies and third parties) against our company (including participation in future bids). We confirm that we will not raise any objections, including pursuing civil or criminal liability against your company and affiliates sharing unethical conduct information, regarding these sanctions.
